These Terms of Service ("Terms") govern your access to and use of the services, software, and websites provided by Amicus Logic (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" and "your" refer to that entity.
You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree to provide accurate, current, and complete information when creating an account and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You agree to use the Services in compliance with all applicable laws, rules, and regulations, including but not limited to data protection, privacy, marketing, and communication laws. You will not use the Services for any unlawful, harmful, or abusive purpose, including sending spam, deceptive messages, or content that infringes the rights of others.
"Client Content" means any data, text, media, or other materials that you or your end users submit to or through the Services, including contact lists, messages, and workflow configurations. You retain ownership of your Client Content. You grant Amicus Logic a worldwide, non-exclusive license to use, host, store, reproduce, modify, and display Client Content solely as necessary to provide and improve the Services and as otherwise permitted in these Terms.
You are solely responsible for the accuracy, quality, and legality of Client Content and how you acquire it. You represent and warrant that you have obtained all necessary rights, permissions, and consents to provide Client Content to the Services and to send communications (including SMS and email) to your contacts using the Services.
Access to certain features of the Services may be subject to payment of fees as set forth in an applicable order form, proposal, or online subscription ("Order"). Unless otherwise stated in an Order, fees are billed in advance, non-refundable, and exclusive of applicable taxes. You authorize us to charge your designated payment method for all fees and applicable taxes incurred in connection with your use of the Services.
Amicus Logic and its licensors own all rights, title, and interest in and to the Services, including all software, technology, templates, designs, and documentation, together with all related intellectual property rights. Except for the limited rights expressly granted in these Terms, no other rights are granted, whether by implication, estoppel, or otherwise. You may not remove, alter, or obscure any proprietary notices on or in the Services.
Each party agrees to protect the other party’s confidential information and to use it only as necessary to perform its obligations or exercise its rights under these Terms. Where required by applicable law, we will enter into a data processing agreement or similar addendum with you governing our processing of personal data on your behalf. In the event of any conflict between these Terms and such data processing agreement, the data processing agreement will prevail with respect to personal data processing obligations.
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Amicus Logic disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that the results obtained from use of the Services will meet your requirements.
To the maximum extent permitted by law, neither Amicus Logic nor its affiliates, officers, employees, or agents will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill, resulting from your access to or use of the Services. Our aggregate liability arising out of or relating to these Terms or the Services will not exceed the amounts paid by you to Amicus Logic for the Services in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Amicus Logic and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use of the Services; (ii) Client Content; (iii) your violation of these Terms; or (iv) your violation of any applicable law or the rights of a third party.
These Terms remain in effect until terminated in accordance with this section. We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay amounts due, or if we reasonably believe your use of the Services poses a security risk, is fraudulent, or may subject us or others to liability. You may terminate your account by following the instructions in the Services or contacting us. Upon termination, your right to use the Services will cease, and we may delete or disable access to Client Content, subject to any data export options we may make available and any applicable legal obligations.
These Terms and any dispute arising out of or related to them or the Services will be governed by and construed in accordance with the laws of the jurisdiction in which Amicus Logic is organized, without regard to its conflicts of laws rules. The parties consent to the exclusive jurisdiction and venue of the courts located in that jurisdiction for the resolution of any such disputes, except where applicable law requires otherwise.
We may modify these Terms from time to time, for example to reflect changes in our Services, legal requirements, or business practices. If we make material changes, we will provide notice (such as by posting an updated version on our website or sending an email). Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.
